SCB Asset Management Company Limited (the Management Company) would like to notify the unitholders that the Management Company has obtained the approval from the Office of the Securities and Exchange Commission (the SEC Office) on 11th November 2020 to amend the mutual fund scheme of the Funds as follows:
1. Amendments in relation to the cancellation of restriction on holding of investment units of mutual funds, procedures for making amendments to mutual fund scheme, and amendment of the name list of auditors, as follows:

The Fund limits the holding of investment units in each fund by any person or group of persons to be not exceeding one-third of the total number of investment unit sold unless such holding falls under the waiver criteria stipulated in the Notification of the SEC or the Notification of the Capital Market Advisory Board. If any unitholders hold the investment units in excess of one-third rule without making additional investment, the Management Company shall not pay dividends for such excess portion except that a waiver is granted; and in voting on the resolution for the amendments of the mutual fund scheme or the fund management procedures, the Management Company shall not count the votes of the person or the group of persons for the portion of holding which exceeds one-third of the total number of the investment units sold and proceed to rectify the holding ratio of such person or group of persons to not exceeding one-third of the total number of investment units sold of the Fund within the specified period or proceed to dissolve the Fund immediately. |
Cancel the restriction on holding not more than one-third of the total number of investment units sold of the Fund by any person or groups of persons as well as the relating procedures such as restriction on the allocation and transfer of investment units, reporting requirements to the SEC Office, rectification of holding ratio in case of excess holding, and the restriction of the unitholders’ rights in receiving dividends, etc. However, the unitholders are still subject to the restriction of their voting rights as their votes for the holding portion in excess of one-third of the total number of the investment units sold shall not be counted. |
