SCB Asset Management Company Limited (“SCBAM”) as the liquidator of GLAND Office Leasehold Real Estate Investment Trust (“GLANDRT”) would like to inform CPNREIT Management Company Limited (the “REIT Manager of CPNREIT”) has announced the maximum price for offering for sale of the additional trust units (the “Maximum Price”) since 27 January 2021 which does not exceed Baht 19.50 per unit, the REIT Manager of CPNREIT would like to further clarify that such Maximum Price may not be the final offering price (the “Final Price”). Such Final Price will be determined by the process of survey of demand for purchasing of the trust units from institutional investors and/or juristic persons who have participated in such process (Book Building).
In this regard, the REIT Manager of CPNREIT will subsequently announce the Final Price by
18 February 2021. If the Final Price is lower than the Maximum Price, the underwriters will refund the difference of the subscription price to the subscriber. Details of which are in accordance with Clause 2.8 of Part 3 of the prospectus Re: Method and Refunding of Subscription Payment which can be summarized as follows:
(1) In case the subscriber has a trading account with the underwriter - he/she will be refunded of the subscription payment by means of automatic wire transfer to his/her account (if the subscriber making the payment by means of automatic transfer system (ATS)), or by wire transfer to a trading account informed by the customer, within 5 business days from the end of the offering period;
(2) In case the subscriber does not have a trading account with the underwriter - he/she will be refunded of subscription payment by means of (a) wire transfer to the subscriber’s bank account as specified in the subscription form, within 7 business days from the end of the offering period; or (b) by a crossed cheque payable to the subscriber’s name only as specified in the subscription form and send it via registered mail to the address appeared in the unitholders database or in the subscription form, within 10 business days from the end of the offering period.
The subscribers can check the number of allocated units after closing the subscription period which shall be from 25 February 2021 onwards at CPNREIT’s website www.cpnreit.com
Please note that the REIT Manager of CPNREIT reserves the right, at its discretion, to amend any relevant details as appropriate, such as details regarding the offering, allocation and subscription, including, but not limited to, the allocation ratios for the Additional Trust Units and the Restricted Territories, for the success of the offering for sale of the Additional Trust Units. These details will be announced on CPNREIT’s website (www.cpnreit.com) and/or the SET’s website (www.set.or.th), as consider appropriate.
