SCB Asset Management Company Limited (“SCBAM”) as the liquidator of GLAND Office Leasehold Real Estate Investment Trust (“GLANDRT”) has been additionally informed by CPN REIT Management Company Limited (“CPN REIT Management”) as a REIT Manager of CPN Retail Growth Leasehold REIT (“CPNREIT”) regarding the subscription rights of the offering trust units of CPNREIT as follows:
Reference is made to the news dissemination of GLAND REIT Management Company Limited (the “GLAND REIT Management”) in its capacity of the REIT Manager of GLANDRT on 13 February 2020 Re: Notification of the book closing date for determining the list unitholders who are entitled to subscribe to additional trust units of CPNREIT, and the jurisdictions where CPNREIT unitholders and GLANDRT unitholders' subscription rights are restricted where GLAND REIT Management has considered the book closing date for determining the GLANDRT unitholders who are entitled to subscribe to the additional trust units of CPNREIT to be on 27 February 2020, and the news dissemination on 21 February 2020 Re: Notification of Subscription Ratio and Indicative Offering Price Range for Capital Increase of CPNREIT.
As CPN REIT Management would like to notify the additional territories where the offering memorandum and subscription form of the offering for sale of the additional trust units(the “Additional Trust Units”) will not be distributed to, and that the CPN REIT Management may not allocate the Additional Trust Units to such existing unitholders of CPNREIT and/or GLANDRT who are U.S. Persons (as defined under Regulation S) and/or with mailing addresses in the following countries:
- Australia;
- Austria;
- Belgium;
- Brazil;
- Canada;
- France;
- Germany;
- India;
- Italy;
- Japan;
- Jordan;
- Luxembourg;
- Malaysia;
- Myanmar;
- Norway;
- Russia;
- Sweden;
- Switzerland;
- Taiwan;
- The Netherlands;
- The People’s Republic of China;
- The Philippines;
- The Republic of Korea;
- The United Kingdom;
- Trinidad and Tobago*;
- The United States; and
- any other countries which the allocation of additional units to the existing unitholders of CPNREIT and/or GLANDRT may cause a violation to laws or regulations applicable in foreign countries, by CPNREIT, or result in additional burden or action to be taken by CPNREIT further to those required by Thai laws.

CPN REIT Management reserves the right, at its discretion, to amend any pertinent details as appropriate, such as the details about the offering, allocation and subscription of the Additional Trust Units, including, but not limited to, the non-restricted territories, the restricted territories, and the exempted offerees, for the success of the offering for sale of the Additional Trust Units. These details will be announced on the CPN REIT Management's website (www.cpnreit.com) and/or the Stock Exchange of Thailand's website (www.set.or.th), as considered appropriate.
In the case that SCBAM as the liquidator of GLANDRT receives any update from CPN REIT Management, SCBAM will publish more information on the offer for sale of CPNREIT’s Additional Trust units to the trust unitholders through GLANDRT’s news announcement via GLANDRT’s website ( www.glandrt.com ) and SCBAM (www.scbam.com )
